Dividend policy and distribution

Company Dividend Policy:

If the company's annual final account shows a surplus, taxes shall first be paid, accumulated losses shall be covered, and 10% shall be set aside as statutory surplus reserve. However, this does not apply if the statutory surplus reserve has reached the total capital amount. If there is any remaining surplus, it shall be combined with accumulated retained earnings, and the Board of Directors shall formulate a surplus distribution proposal for approval by the shareholders' meeting.
The company may distribute all or part of the statutory surplus reserve and capital reserve in the form of cash distribution, with authorization granted to the Board of Directors to implement such distribution upon attendance of more than two-thirds of the directors and approval by a majority of attending directors, and such action shall be reported to the shareholders' meeting.

The company adopts a mix of cash and stock dividends to retain operational capital, and allocates not less than 10% of distributable earnings to shareholders annually in either cash or stock form, with cash dividends accounting for not less than 10% of total dividends.
